Ontario lawyer needed: client contracts for a small software services company
We're a small Ontario corporation. We build and run custom software for small and mid-sized contractors and logistics companies. We need a lawyer licensed in Ontario to advise us on the contracts we need with our clients, and then to draft them.
How we work:
- We work on a services basis. Clients pay for custom build work, plus a monthly retainer for ongoing support and hosting.
- Each client gets its own deployment, which we host and manage. All clients run on one core platform that we maintain.
- The software has AI features. One connects to a client's mailbox to sort email and pull out invoice and PO details. Another is a chatbot that answers questions from the client's own documents.
- Clients always own their own data. They usually also own what they pay us to build, and we think that's fair.
- Today each client has signed an NDA with us and we invoice them directly. There's no other signed agreement.
- Most of our clients are in Ontario. We're starting to talk to companies in the UK and US.
What we need:
- Advice on which agreements we need and how they fit together.
- Plain-English agreements we can reuse for each new client.
- Advice on what the contracts should cover for the AI features, mailbox access and privacy.
- Advice on where to draw the line between what a client owns and the shared platform underneath.
- A way to put our existing clients under contract.
- A call to walk us through the documents and tell us which parts we can change ourselves.
- Where we'd need separate advice for UK or US clients.
Requirements:
- Licensed by the Law Society of Ontario. Please include your licence number in your bid (strongly recommended)
- Experience drafting contracts for software, technology or IT services companies.
In your bid, please describe similar work you've done, give a fixed-fee quote, and tell us how long it would take.
