Overview
The Senior Contracts Manager is a senior individual contributor responsible for leading activities related to complex healthcare technology contracting across the enterprise. The position resides within the Corporate Governance and Risk organization, and works closely with all areas of the company, including Enterprise Risk Management, Audit, Security, Product, Engineering, Operations, Finance, Sales and Marketing, Customer Account Executives, and Vendor Management Operations.
The Senior Contracts Manager seeks to improve contract governance through templates, playbooks, Contract Life Cycle Management (CLM) workflows, automation, and responsible use of AI-enabled tools. This role balances business enablement with risk mitigation by advising senior stakeholders, developing negotiation strategy, and ensuring agreements align with all legal and regulatory requirements while supporting business growth.
Responsibilities
Leads end-to-end contract lifecycle management for complex agreements, including drafting, reviewing and negotiating contracts, as assigned
Evaluates and provides substantive support related to legal and business contractual terms
Advises senior leaders on contractual risk, business impact, and recommended positions to support timely and informed decision-making
Partners with Enterprise Risk Management, Audit, Security, Product, Engineering, Operations, Finance, Sales and Marketing, Customer Account Executives, and Vendor Management to align agreements with NASCO delivery models, regulatory requirements, service commitments, and enterprise risk standards
Works with Legal department management and colleagues to develop and maintain standardized templates, to improve consistency, quality, and cycle time
Optimizes, and supports contract lifecycle management systems, workflows, dashboards, and reporting to improve visibility, governance, and operational efficiency
Uses AI-enabled and automation tools responsibly to support contract review and workflow efficiency, all in accordance with NASCO’s AI policies and Legal department management direction
Tracks and reports contract performance metrics including cycle time, contract volume, non-standard terms, risk escalations, renewal activity, and stakeholder service levels, as directed by management
Ensures agreements appropriately address regulatory, security and audit-readiness requirements
Drives continuous improvement across contract governance, intake, review, approval, renewal, and post-execution contract management processes
Provides guidance on contract management best practices
Qualifications
Required Knowledge, Skills, and Abilities:
Advanced knowledge of commercial vendor, partner and customer contract structures, in regard to data privacy, security, service levels, implementation services, SaaS and other business models, and renewal terms
Strong understanding of healthcare regulatory and compliance considerations
Advanced contract drafting, negotiation, and issue-resolution skills, with the ability to independently manage complex agreements
Strong commercial and business acumen
Ability to identify, assess, communicate, and mitigate contractual risk while balancing business enablement
Ability to advise senior leaders, influence cross-functional stakeholders, and communicate complex contractual issues and provide guidance in clear, practical terms
Ability to develop, update, and manage contract templates and governance standards
Knowledge of contract lifecycle management systems, workflow automation, AI-enabled tools, dashboards, reporting, and contract performance metrics
Strong analytical, problem-solving, prioritization, and organizational skills, with the ability to manage a high-volume, high-complexity contract portfolio
High attention to detail, sound judgment, and ability to operate independently in a fast-paced, cross-functional environment
Preferred Knowledge, Skills, and Abilities:
Knowledge of healthcare technology contracting environments
Skill in negotiating business associate agreements, data use agreements, and SaaS subscription terms
Familiarity with AI-enabled contract review, contract analytics, clause extraction, obligation tracking, or workflow automation tools
Ability to partner with teams across an enterprise to improve deal velocity while maintaining appropriate risk controls
Experience:
8 years of progressive contracts management experience, including complex technology (including SaaS and other models) agreements
Demonstrated experience leading and/or participating in contract negotiations, advising senior stakeholders, managing risk escalations, and improving contract processes or governance
Preferred Experience:
10 years of contracts management experience in regulated healthcare technology or similarly complex environment
Experience supporting digital transformation, product-led operating models, and modernization of contract operations
Experience with CLM, CRM, e-signature, and document management tools such as DocuSign, HubSpot, Gatekeeper, SharePoint, or similar platforms
Required Training, Certification and Education:
Bachelor’s degree in business, legal studies, or related field
Preferred Training, Certification and Education:
Master’s degree in business or Juris Doctor
Professional certifications such as CPCM or CCCM through the National Contract Management Association
Working Conditions:
Remote home office
Must be able to use equipment at workstation for up to 8 hours daily
